Company Description

Hammermeister is a developer, designer, and producer of highly automated assembly and testing systems, i.e., machines that are downstream from actual parts manufacturing and perform assembly tasks, testing functions, and quality controls. These are systems built with circular and XTS linear transport systems and have various standard stations that execute assembly steps with high speed and precision and conduct tests electrically, tactilely, and optically. For this purpose, the company has developed its own "module kit" to rely on standardized and already tested modules. AI algorithms (deep learning) have been applied in several projects. Since 2023, a cooperation with an established AI partner has been in place, allowing the company to offer very sophisticated overall solutions. A new standard testing system for testing various individual parts and a highly efficient blister tape system has been developed.

The operation of Hammermeister has existed since 1996. In 2022, the business was transferred to a new shareholder structure and strategically realigned in parts, opening up additional customer groups. The effects were spectacular. The turnover was doubled within a short time (€ 6.5 million in 2024). However, in the 4th quarter of 2024, there was a sudden and very surprising decline in orders. Due to a lack of follow-up orders, the onset of insolvency became foreseeable by mid-2025. Therefore, the management decided to file for insolvency due to impending insolvency.

CF Consilio Forte GmbH consulting firm (CF) was commissioned by the company, in coordination with the provisional insolvency administrator, to conduct a structured M&A process and find a buyer or investor for the operation.

Products and Markets

HMS is a specialist in the development and construction of so-called handling systems. A distinct feature, besides automation in the assembly of parts, is the frequent integration of measuring technology, which ensures product quality. The special machines, often designed as robot cells, are used, for example, in the automotive supplier industry or electrical engineering industry. Current industry focuses are the areas of automotive, defense industry, and telecommunications.

Value Creation Concept

A high percentage of value creation relates to design and subsequent development of software or programming, mostly carried out by the company's own employees. The machine components (hardware) are largely purchased. The assembly of the systems takes place at the company's headquarters in Gabenbach.

Employees

The company currently has 33 permanent employees. In addition, there is the managing director and a technical developer working on a fee basis. It is a young and well-coordinated team with high identification with the company. The average monthly wage level of the employees (excluding the managing director) is approximately € 4,400 gross.

Business Property

The business property in Gabenbach is rented and thus does not count towards the insolvency estate. The property has a total area of 1,796 sq.m. The landlord is interested in continuing the lease with an investor or acquirer.
